1. Identification of the Owner and Object of the Service

This document regulates the conditions of access, registration, use, and contracting of the services offered on the web platform CoPencils (hereinafter, the "Platform"), accessible through the domain copencils.com and its associated subdomains.

The use of the Platform or registration as a user implies full, conscious, and unreserved acceptance of these Terms and Conditions of Contracting and Use (hereinafter, the "Terms"). The user declares to have the necessary legal capacity to be validly bound by these clauses.


2. Capacity Requirements and Age of Access

  • 2.1. Minimum age for access to the service: In accordance with article 7 of Organic Law 3/2018 (LOPDGDD), free access and registration on CoPencils are reserved for natural persons over fourteen (14) years of age residing in Spain, or over sixteen (16) years of age (or the minimum age of consent legally set in their respective European Union Member State).
  • 2.2. Contracting paid plans and settlement of funds: To subscribe to paid modalities (Creator, Studio), acquire exports of works, or withdraw monetary royalties, the user must be at least eighteen (18) years of age and have full capacity to act in accordance with applicable civil law.
  • 2.3. Veracity of information: The user is exclusively responsible for the accuracy, updating, and authenticity of the data provided during profile registration. Identity theft or the continued supply of inaccurate data will entitle the Owner to the unilateral suspension or cancellation of the account.

3. Dynamics of the Service and Technical Operation

  • 3.1. Collaborative literary creation by rounds: CoPencils provides a software environment oriented towards the collective writing of fictional stories. A promoter user defines the narrative premise, synopsis, universe rules, and the starting point of a work. Subsequent pages or sections are generated through time rounds open for the submission of proposals and voting among participants.
  • 3.2. Determination of the official canon: At the end of each round's timer, the proposal that garners the highest number of valid votes cast in accordance with the room's rules is irrevocably consolidated as the official canonical page or chapter of the manuscript. In the event of a tie in private rooms, the vote of the promoter of the story shall prevail, or failing that, the chronological record of the first submission received by the server.
  • 3.3. Lore Bible and Narrative Coherence Assistance: Fictional universe information (characters, factions, internal rules) is managed through reference sheets. The Platform incorporates AI-assisted algorithmic supervision mechanisms exclusively aimed at contrasting the coherence of the proposals with the rules of the world and filtering content that violates the rules of use, without such assistance constituting in any case an attribution or claim of intellectual authorship by the software.

4. Intellectual Property Regime, Co-authorship, and Licenses

The copyright regime of CoPencils is structured strictly in accordance with Royal Legislative Decree 1/1996, of April 12, approving the Revised Text of the Intellectual Property Law (hereinafter, "LPI").

4.1. Legal Qualification of the Works

Collective works created and completed through the Platform hold the legal consideration of a collaborative work (article 7 of the LPI) or, in those cases where the project is conceived, coordinated, and published under the unitary direction of a single responsible editor or promoter, of a collective work (article 8 of the LPI), depending on the organizational conditions established when founding the room.

4.2. Inalienable Recognition of Moral Rights

In accordance with article 14 of the LPI, the Owner and the other members of the community recognize to each author their inalienable, irrevocable, and perpetual moral right to authorship of their literary contribution consolidated in the official canon. The name, pseudonym, or alias registered by the author will appear expressly and indelibly in the credits, indices, and metadata associated with any compilation or publication in digital format derived from the work.

4.3. Non-Exclusive Exploitation License

By submitting any text, fragment, chapter, or narrative sheet to a story on CoPencils, the author grants Jaime Mateu Rico (Nodurix / CoPencils) and the participating co-authors of said work a non-exclusive, transferable license for the operation of the service, territorially universal (worldwide), and for the maximum legal protection period recognized by intellectual property regulations, with the following specific faculties:

  1. Reproduction: Digital fixation, technical storage on servers, duplication for interactive reading, and compilation in digital files (ePub, PDF formats, or web readers).
  2. Distribution: Making available, commercialization, and downloading of digital compilation copies through the CoPencils library or catalog.
  3. Public Communication: Online exhibition of the texts within the Platform for reading, community voting, and institutional promotion of catalog extracts.
  4. Transformation: Strictly limited to technical tasks of digital layout, typographic formatting, automated orthotypographic correction, and adaptation to multi-platform reading viewers.

4.4. Integrity of the Common Work and Irrevocability

To preserve the viability and legal security of collaborative works already consolidated, the author acknowledges and accepts that, once a fragment has won a round and has been formally incorporated into the official canon of the work, said text cannot be revoked, deleted, or blocked retroactively from the compilation.

The foregoing shall be understood without prejudice to the exercise of the moral right of withdrawal due to a change in moral convictions regulated in article 14.6 of the LPI, in which case the author requesting the withdrawal must preemptively and mandatorily compensate the Owner and the other co-authors for all economic and technical damages resulting from the alteration of the collective work.


5. Service Modalities, Subscriptions, and Billing

Prices are detailed itemized on the checkout gateway, incorporating or breaking down the Value Added Tax (VAT) or applicable indirect tax depending on the buyer's residence, managed in real-time through digital taxation solutions.

5.2. Payment Gateway and Automatic Renewal

Subscription billing is processed via a secure delegated banking gateway through Stripe Billing (Stripe Payments Europe, Ltd.). The user authorizes the periodic and recurring charge of the fee corresponding to their billing cycle (monthly or annual) to the provided payment method.

Subscriptions will tacitly and automatically renew for identical successive periods unless the user communicates or executes the cancellation of their renewal prior to the expiration date through their user panel or the gateway's customer management portal.

5.3. Default and Regularization

If the periodic charge cannot be completed on the due date (due to card expiration, insufficient funds, or rejection by the issuing entity), the subscription will enter a provisional default state (past_due). If the incident is not corrected within a period of seven (7) calendar days, the account will automatically downgrade to the basic free plan, suspending access to the creation of new private rooms until regularization, without this entailing the deletion of pre-existing contents.


6. Right of Withdrawal and Legal Exception

  • 6.1. General Framework: In accordance with article 102 of the Revised Text of the General Law for the Defense of Consumers and Users (TRLGDCU), every consumer generally holds the right to withdraw from the contract within a period of fourteen (14) calendar days without the need for justification.
  • 6.2. Legal exception applicable to digital content and services (Art. 103.m TRLGDCU): In accordance with the provisions of letter m) of article 103 of the TRLGDCU, the right of withdrawal shall not apply to contracts for the supply of digital content which is not supplied on a tangible medium if the performance has begun with the consumer's prior express consent and their acknowledgment that they thereby lose their right of withdrawal.

Loss of the Right of Withdrawal: By subscribing to any paid plan or acquiring a digital file export, the user expressly requests immediate access and execution of the computer service, acknowledging and accepting that the instant initiation of the service entails the waiver and full extinction of the fourteen-day right of withdrawal.


7. Catalog Economy and Distribution of Literary Royalties

7.1. 70/30 Distribution

When a completed work, cataloged in official status (COMPLETED), is commercialized in the CoPencils digital library (for example, through unit acquisition by external readers):

  • 30% Platform Retention: Of the net income obtained (after deducting direct bank gateway commissions and legally applicable indirect taxes) will be retained by Nodurix as a commission for technical infrastructure, bandwidth, storage, and operational maintenance of the service.
  • 70% Authors' Royalty Fund: This will constitute the pool that will be distributed mathematically and proportionally among the participating co-authors strictly based on the number of consolidated and approved canonical pages in the final manuscript that correspond to each one's authorship.

7.2. Accumulated Balance and Withdrawal Threshold

The income accrued by each author will be recorded in their internal profile balance (Wallet). To request the transfer and monetary settlement in their favor, the author must accumulate a minimum available balance of TWENTY EUROS (€20.00).

7.3. Accreditation of Tax Identity and Withholdings

In accordance with the tax regulations of the Kingdom of Spain and the European Union:

  1. Prior Accreditation: Prior to processing any financial settlement via bank transfer (SEPA) or authorized gateway, the author must mandatorily complete their tax identification form, proving their real identity, Tax Identification Number (NIF, NIE, or international tax equivalent), and tax domicile.
  2. Tax Withholdings: The Owner will practice on the gross amounts to be transferred those withholdings as Personal Income Tax (IRPF) or Non-Resident Income Tax (IRNR) that are legally mandatory in accordance with the current Spanish tax legislation, issuing the appropriate withholding certificate after the end of the fiscal year.

8. Rules of Conduct and Content Moderation

  • 8.1. Lawful and respectful use: The user undertakes not to use CoPencils to introduce, link, or disseminate materials that:
    • Infringe third-party intellectual or industrial property rights (plagiarism, unauthorized copies of others' works, or copyright violations).
    • Constitute incitement to hatred, discrimination based on race, gender, religion, nationality, or sexual orientation, or violation of the rights of minors.
    • Contain malicious code, automated mass data extraction scripts (scraping), or mechanisms aimed at fraudulently altering the tally of community votes.
  • 8.2. Originality of Content: Users undertake to create only original content. The uploading, creation, or distribution of content protected by third-party copyrights (Third-Party IPs, unauthorized Fanfiction, etc.) is strictly prohibited.
  • 8.3. Moderation and Removal: CoPencils reserves the right to audit proposals through technical supervision, algorithmic support, and direct community reporting channels (content_flags). The Owner may preemptively suspend or remove any fragment that contravenes these rules in accordance with article 16 of Law 34/2002 (LSSI-CE) and the EU Digital Services Act (DSA).
  • 8.4. Cancellation for non-compliance: Serious or repeated breach of the rules of conduct will entitle the Owner to the immediate cancellation of the offender's account, with the loss of contracted access rights and without the right to a refund of accrued fees.

9. Guarantees and Limitation of Liability

  • 9.1. CoPencils is provided on a "best effort" availability basis. The Owner does not guarantee uninterrupted availability or the absolute absence of technical incidents caused by crashes in external telecommunications networks, denial of service attacks, or third-party server problems.
  • 9.2. To the maximum extent permitted by the legal system, the total cumulative liability of the Owner towards the user for any contractual dispute shall be limited to the total amount effectively paid by said user for the CoPencils services during the twelve (12) months immediately preceding the event giving rise to the claim.

10. Contractual Modifications

The Owner may update these Terms to adapt them to regulatory changes or product improvements. Substantial modifications will be notified to registered users at least fifteen (15) calendar days prior to their effective application. Continued use of the service after said period will imply full conformity with the new text.


11. Applicable Law and Jurisdictional Forum

  • 11.1. These Terms are governed in all aspects by the legal system of the Kingdom of Spain and directly applicable European regulations.
  • 11.2. To settle any litigation or controversy arising from this contract, the parties expressly agree to submit to the jurisdiction of the Courts and Tribunals of the city of Palma (Illes Balears), waiving any other jurisdiction that may correspond to them in legally admissible terms.
  • 11.3. Online Dispute Resolution (ODR) Platform: In the case of disputes brought by consumers holding such status in accordance with the TRLGDCU, the judicial competence set by the consumer's domicile shall govern, or alternatively, the out-of-court online dispute resolution mechanism of the European Commission accessible through the official platform: 👉 https://ec.europa.eu/consumers/odr
